1. Agreement to Terms

By accessing or using Term Seeker ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Term Seeker is operated by Term Seeker ("we," "us," or "our"). These Terms apply to all users of the Service.

2. Description of Service

Term Seeker is a SaaS platform that helps commercial real estate brokers:

• Extract and analyze data from term sheets
• Compare lending terms across multiple lenders
• Send professional emails to lenders
• Manage lending relationships and opportunities

3. User Accounts

3.1 Account Creation

To use Term Seeker, you must:

• Create an account with accurate information
• Be at least 18 years of age
• Maintain the security of your password
• Notify us immediately of any unauthorized use

3.2 Account Responsibilities

You are responsible for:

• All activity that occurs under your account
• Maintaining the confidentiality of your credentials
• Ensuring your use complies with these Terms
• The accuracy of information you provide

4. Subscription and Payment

4.1 Pricing

Access to Term Seeker requires an active paid subscription. Pricing is available on our website and may change with notice.

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• Payments are processed through Stripe
• Charges are non-refundable except as required by law
• You authorize us to charge your payment method on each billing cycle

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

4.4 Failed Payments

If payment fails, we may suspend your access until payment is resolved. After 30 days, your account may be terminated.

5. Email Sending and OAuth

5.1 Email Permissions

By connecting your Microsoft or Google email account:

• You grant us permission to send emails on your behalf
• Emails are sent from YOUR email account
• You remain responsible for all emails sent through the Service
• You can revoke access at any time

5.2 Email Usage Restrictions

You agree NOT to use the email functionality to:

• Send spam, unsolicited emails, or marketing communications
• Violate anti-spam laws (CAN-SPAM, GDPR, etc.)
• Send malicious content or phishing attempts
• Harass, threaten, or abuse recipients
• Violate any applicable laws or regulations

6. Acceptable Use

• Store your data to provide the Service

8. Data and Privacy

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

You use the Service at your own risk. We do not warrant that term sheet extractions are accurate or complete. You should verify all information before relying on it for business decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use or inability to use the Service
• Errors or inaccuracies in extracted data
• Unauthorized access to your data

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Emails sent using your connected account
• Content you upload to the Service

13. Termination

13.1 By You

You may terminate your account at any time by canceling your subscription.

13.2 By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Abuse the Service or other users

13.3 Effect of Termination

Upon termination:

• Your access to the Service ends immediately
• Your data may be deleted after 30 days
• You may request a data export before deletion
• Sections 7, 10, 11, 12, and 14 survive termination

14. Dispute Resolution

14.1 Informal Resolution

14.2 Arbitration

Any disputes shall be resolved by binding arbitration rather than in court, except for small claims court matters and injunctive relief.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

15. Governing Law

These Terms are governed by the laws of the jurisdiction where Term Seeker is registered, without regard to conflict of law provisions.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be notified by email or prominent notice on the Service. Continued use after changes constitutes acceptance. If you disagree, you must stop using the Service.

17. General Provisions

17.1 Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service.

17.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver.

17.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

17.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
